These Terms of Service ("Terms") are a legally binding contract between Care Finder Assist Ltd (Company No: 16561214) ("CFA", "we", "us") and the legal entity or individual creating a listing on our platform ("Lister", "you").

By creating an account, submitting a listing, or completing your subscription via our Stripe payment links, you confirm that you have read, understood, and agree to be irrevocably bound by these Terms.

 

RECITALS

(A) CFA operates an online directory known as the "Catalogue" on its Wix website, designed to list suppliers and services for the UK care industry. (B) The Lister wishes to advertise its services in the Catalogue. (C) CFA agrees to provide this service based on the subscription plan chosen by the Lister, subject to the non-negotiable terms and conditions of this Agreement. (D) The core principle of this Agreement is that CFA is a neutral advertising platform and does not verify any information provided by the Lister. All listings are published on a "Lister Declared" basis.

IT IS HEREBY AGREED as follows:

 

1. DEFINITIONS AND INTERPRETATION

• "Catalogue": The online directory of services and suppliers operated by CFA.

• "Introductory Period": A 28-day period commencing on the Subscription Start Date, during which the Lister can use the Premium Plan without charge.

• "Lister Content": All information provided by you for your listing, including (but not limited to) business names, descriptions, text, images, logos, social media links, and any self-declared credentials (e.g., insurance, DBS checks, accreditations).

• "Lister Declared": The status of all listings, confirming that all Lister Content has been provided and self-certified by the Lister, and has not been audited, inspected, or verified by CFA.

• "Plan": Any subscription tier, level, or package offered by CFA for listing in the Catalogue, including (but not limited to) any Free Listing or paid subscription plans as advertised on our website.

• "Stripe Customer Portal": The self-service online portal, operated by Stripe, where the Lister is solely responsible for managing their subscription, payment details, and cancellation.

• "Subscription Fee": The fee payable by the Lister (exclusive of VAT) for their chosen Premium Plan, as advertised at the time of subscription.

• "Subscription Start Date": The date the Lister completes the online subscription sign-up process via the Stripe payment link.

 

2. ACCEPTANCE OF TERMS

2.1. These Terms apply from the Subscription Start Date and govern all use of the Catalogue by the Lister. 2.2. You are deemed to have irrevocably accepted these Terms by completing the subscription sign-up process. These Terms must be read in conjunction with our website's main Privacy Policy and Website Terms of Use.

 

3. CFA'S ROLE (LIMITATION OF SERVICE)

3.1. Neutral Advertising Platform: You acknowledge and agree that CFA’s role is strictly limited to that of a "neutral venue" or "advertising platform." We provide the technical means for you to publish your Lister Content. 3.2. No Agency: We are not an agent, broker, or introducer. We are not a party to any communication, transaction, or subsequent contract that may arise between you and a user of our Catalogue. 3.3. "LISTER DECLARED" – NO VERIFICATION: This is a fundamental term of our Agreement. We do not verify, audit, inspect, check, or approve any Lister or Lister Content. (a) We do not check the identity of Listers. (b) We do not verify the authenticity of any self-declared documents, insurance certificates, DBS checks, or qualifications. (c) We do not inspect any goods, services, or premises advertised. 3.4. Moderation: We reserve the right, at our sole discretion, to remove, refuse, or edit any Lister Content that we believe violates these Terms, or is illegal, offensive, or otherwise damages the reputation of CFA. This right does not imply any obligation to monitor or verify content. 3.5. Ranking: We do not guarantee any specific ranking or position in the Catalogue. We reserve the right to determine the ranking of listings based on objective factors, including the Lister's subscription tier (Premium or Free) and automated profile completeness scores (listingScore). 3.6. Changes to the Catalogue & Service: You acknowledge and agree that CFA is a dynamic platform. We reserve the right, at our sole discretion, to modify, update, add, or remove any features, functionality, or "look and feel" of the Catalogue or any Plan, at any time and without notice. Your subscription is for access to the Catalogue as it evolves. Your sole remedy, should you disagree with any such change, is to cancel your next renewal as per Clause 6.4. No refund shall be payable for any such changes.

 

4. LISTER'S WARRANTIES AND OBLIGATIONS

4.1. By submitting your listing, you make the following binding legal promises (warranties) to CFA: (a) Accuracy: All Lister Content you provide is, and will be kept, 100% true, accurate, current, and not misleading. (b) Credentials: You possess, and will maintain, all qualifications, insurance policies, accreditations, and (where applicable) DBS checks that you have self-declared in your listing. (c) Intellectual Property (IPR): You own or have the unrestricted legal right to use all Lister Content (including logos, photos, and text) and you grant CFA the license to publish it (as per Clause 5). (d) Legality: Your services and your Lister Content comply with all applicable UK laws and advertising standards. 4.2. Responsibility for Updates: You are solely responsible for keeping your Lister Content up-to-date. 4.3. "Report a Concern": You acknowledge that all listings will feature a "Report a Concern" button, allowing users to flag content they believe to be inaccurate, and you will cooperate with CFA if any such report is made against your listing.

 

5. INTELLECTUAL PROPERTY LICENSE

5.1. To allow us to operate the Catalogue, you grant CFA a non-exclusive, worldwide, royalty-free, transferable license to use, host, display, reproduce, and distribute your Lister Content on the Catalogue and in our associated marketing (e.g., social media posts promoting the Catalogue). 5.2. This license terminates when your listing is permanently deleted from our system.

 

6. SUBSCRIPTION PLANS, FEES, AND PAYMENT

6.1. Free Listings: We may offer Free Listings at our sole discretion. We reserve the right to remove, suspend, or change the features of any Free Listing at any time, for any reason, without notice. 6.2. Premium Plans: (a) Fees: The Subscription Fees for Premium Plans shall be the prices as advertised on our website and confirmed at the point of subscription via our Stripe payment link. All fees are quoted exclusive of VAT, which will be added at the prevailing rate. (b) Introductory Period: Your Premium Plan will begin with a 28-day Introductory Period. Your first payment will be automatically charged on or after the 29th day. 6.3. PAYMENT & AUTO-RENEWAL: (a) All Premium Plans are auto-renewing subscriptions. (b) A Premium Monthly plan will auto-renew for a further one (1) month period. (c) A Premium Annual plan will auto-renew for a further twelve (12) month period at the then-current annual rate. 6.4. CANCELLATION (LISTER'S RESPONSIBILITY): (a) You are solely responsible for managing and cancelling your subscription. (b) All cancellations must be performed by you via your Stripe Customer Portal. (c) To avoid the next charge, you must cancel before your renewal date (or before the end of the 28-day Introductory Period). 6.5. NO REFUND POLICY & CANCELLATION EFFECTS: (a) All Subscription Fees are non-refundable. (b) Effect of Monthly Cancellation: If you cancel a Premium Monthly Plan, your subscription will remain active until the end of the billing month you have already paid for. Your subscription will not renew, and no further payments will be taken. No pro-rata refund will be given for the current billing period. (c) Effect of Annual Cancellation: If you cancel a Premium Annual Plan, your subscription will remain active until the end of the 12-month term you have already paid for. Your subscription will not renew. No pro-rata refund will be given for any remaining months of the term. (d) Effect of CFA Cancellation: This "No Refund Policy" applies in all circumstances, regardless of whether the cancellation is initiated by you (per Clause 6.4) or by CFA at our discretion (per Clause 7). If CFA removes your listing due to a breach of these Terms, you will not be entitled to any refund (pro-rata or otherwise) of your Subscription Fee. 6.6. Invoicing: Official VAT invoices will be generated by our accounting system (FreeAgent) and emailed to you upon successful payment, as per the workflow. Stripe will send payment receipts. 6.7. Changes to Subscription Fees: (a) We reserve the right to change our Subscription Fees for any Plan. (b) For any price change to an existing subscription, we will provide you with a minimum of thirty (30) days' written notice via email to your registered email address. (c) The new fee will take effect on your next billing cycle (monthly or annual) after the 30-day notice period has expired. (d) Your continued use of the service after the price change takes effect will constitute your acceptance of the new fee. You will be reminded of your right to cancel your subscription (as per Clause 6.4) in the notice.

 

7. LIMITATION OF LIABILITY

7.1. We provide the Catalogue on an "as-is" basis. We do not guarantee it will be error-free or uninterrupted. 7.2. We are not liable for any acts, omissions, or services of any Lister. 7.3. We are not liable for any transaction, loss, or dispute between you and a user of the Catalogue. 7.4. Our total liability to you under this Agreement (whether for breach of contract, negligence, or otherwise) shall be limited to the total Subscription Fees paid by you in the twelve (12) months preceding the date of the claim. 7.5. We shall not be liable for any indirect or consequential loss, loss of profit, or loss of business.

8. INDEMNITY

8.1. You agree to fully indemnify and hold harmless Care Finder Assist Ltd (and its directors and employees) against all claims, costs, legal fees, damages, and expenses that may arise from: (a) Any breach by you of the warranties in Clause 4; (b) Any claim that your Lister Content is false, inaccurate, or misleading; (c) Any claim that your Lister Content infringes the IPR of a third party; (d) Any claim from a Catalogue User arising from your services, acts, or omissions.

 

9. GENERAL

9.1. Data Protection: We will process your personal data (as a Lister) in accordance with our Privacy Policy (available on our website) and UK data protection laws. Our ICO Registration is ZC025632. 9.2. Changes to Terms: We may update these Terms (with the exception of Subscription Fees, which are governed by Clause 6.7) at any time by posting a new version on our website. Your continued subscription after such a change constitutes your acceptance of the new Terms. 9.3. Governing Law: This Agreement is governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
